Referral terms and conditions

ORBCOMM offers rewards to individuals (“you” or “Referrer”) who refer business to ORBCOMM, including any affiliate company within the United States and Canada that results in a new ORBCOMM customer, in accordance with these Terms and Conditions. We reserve the right to modify or amend at any time these Terms and Conditions and/or the methods through which rewards are earned. We reserve the right to disqualify any Referrers from participation in the referral program at any time at our sole discretion, including, without limitation, if you do not comply with any of these Terms and Conditions or otherwise fail to comply with any applicable laws (including, without limitation, through any failure to include any disclosures as required by the FTC, Canadian Consumer Protection Agency or otherwise required by ORBCOMM).

The ORBCOMM customer referral program is open to individuals in the US and Canada only, except in any jurisdiction within the US and Canada where prohibited by law. To qualify, you must provide complete and accurate information about yourself and the party you are referring must also be within the United States or Canada (the “Referee”) via our online form located at www.orbcomm.com/en/solutions/transportation/referral. Incorrect information may result in disqualification of your referral. By participating in the program, you agree to these terms and conditions. The referral program is subject to ORBCOMM’s privacy policy. Referrers agree and your participation in the referral program acts as your consent for ORBCOMM to use your personal information not only for the initial communications with you, but also to send to follow-up communications to Referees to encourage or remind them to complete a purchase. Your personal information may also be used by ORBCOMM to contact you, your company and Referees with regards to their participation in the referral program and to send to additional marketing communications from ORBCOMM.

You must be 18 or older to participate. You may not refer (i) yourself, (ii) the company you work for or any affiliate or subsidiary of the company you work for; or (iii) refer more than one individual per referral, but may refer individuals in multiple companies, each of which will be a separate Referee. In the event that we receive more than one individual contact referral for a company, the first instance will be accepted and subsequent referrals rejected. Government agencies and their employees are not eligible to participate either as Referrers or Referees.

In order to participate each Referee must have consented to the provision of their contact information, including any personal information, in writing and in accordance with applicable data privacy laws prior to submission. Only referees whom we have not engaged with previously will be accepted. Referees who have been in contact with ORBCOMM in the 6 months prior to the referral are not eligible for a reward.

To qualify for reward payment, the Referee must make a minimum purchase of 10 telematics devices from us within six months of the referral. Rewards are granted at the sole discretion of ORBCOMM 45 days after the first payment from the referee. The $250 reward will be paid by gift card. Only one reward is issued for each referral and only for the first minimum purchase of telematics devices by a Referee once the Referee signs a purchase agreement for the telematics devices.

ORBCOMM reserves the right to modify or terminate this referral program at any time without notice. Rewards are not transferable and may not be auctioned, traded, bartered or sold.

ORBCOMM’s online platform and the referral program contain content that includes: designs, text, graphics, images, video, information, logos, button icons, software, audio files, computer code, and other content (collectively, "Content"). You acknowledge that all Content is the exclusive property of ORBCOMM and you obtain no rights to use such Content except as described in these terms and conditions. ORBCOMM hereby authorizes you, subject to these terms, to access and use its platform, and the Content solely in connection with the referral program. This license is revocable at any time without notice and with or without cause. Unauthorized use of the Content may violate copyright, trademark, and applicable communications regulations and statutes and is strictly prohibited. You must preserve all copyright, trademarks, service marks, and other proprietary notices contained in the original Content on any copy you make of it.

Referee agrees to defend, indemnify, release and hold harmless ORBCOMMI, its parent companies, affiliates and subsidiaries, together with their respective employees, directors, officers, licensees, licensors, attorneys and agents including, without limitation, their respective advertising and promotion entities and any person or entity associated with the production, operation or administration of the referral program (collectively, the "Released Parties"), from any and all claims, actions, demands, damages, losses, liabilities, costs or expenses caused by, arising out of, in connection with, or related to Referrers’ participation in the referral program (including, without limitation, any property loss, damage, personal injury or death caused to any person(s) and/or the awarding, receipt and/or use or misuse of the referral program, any reward or use of any party’s personal information).

ORBCOMM disclaims any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with the referral program, and reserves the right, in its sole discretion, to cancel, modify or suspend the referral program should a virus, bug, computer problem, unauthorized intervention or other cause affect ORBCOMM’s management, security or conduct of the referral program.

ORBCOMM shall not be liable to any party including a Referrer or Referee for failure to supply any Reward for any reason. ORBCOMM reserves the right to cancel or suspend the referral program should ORBCOMM determine, in its sole discretion, that the administration, security or fairness of the referral program has been compromised in any way.

Disclaimer of Warranties

REFERRERS EXPRESSLY UNDERSTAND AND AGREE THAT: (A) YOUR USE OF THE REFERRAL PROGRAM IS AT YOUR SOLE RISK; THE REFERRAL PROGRAM AND ANY WEBSITE OR PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND ORBCOMM EXPRESSLY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES, CONDITIONS AND TERMS OF ANY KIND, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR CUSTOM INCLUDING, BUT NOT LIMITED TO, WARRANTIES AS TO THE PRODUCTS OR SERVICES SOLD BY ORBCOMM AND OFFERED THROUGH THE REFERRAL PROGRAM, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. USE OF THE PRODUCTS AND SERVICES OFFERED BY ORBCOMM ARE GOVERNED BY THE TERMS AND CONDITIONS ASSOCIATED WITH THE PURCHASE AND SALE OF SUCH PRODUCTS AND SERVICES.

These terms constitute the entire agreement between ORBCOMM and each Referrer concerning the referral program. The failure of ORBCOMM to exercise or enforce any right or provision of these terms shall not constitute a waiver of such right or provision. If any provision of these terms is determined to be invalid, the parties to the referral program agree that the court should endeavor to give effect to the intentions reflected in these terms and conditions, and that the other provisions of these terms and conditions shall remain in full force and effect.
